Terms & Conditions

These terms govern all B2B manufacturing, OEM/ODM, and wholesale supply relationships with Evokomoribi (Dongguan) Technology Co., Ltd.

1. Applicability

These Terms & Conditions govern all quotations, purchase orders, manufacturing agreements, and supply relationships between Evokomoribi (Dongguan) Technology Co., Ltd. (“Evokomoribi,” “we,” “us”) and the buying entity (“Buyer,” “you”). Evokomoribi operates exclusively as a B2B manufacturer and does not sell to individual end consumers. Placing a purchase order, paying a deposit, or issuing written confirmation of a quotation constitutes acceptance of these terms in full.

2. Quotations & Order Confirmation

  • All quotations are issued in USD and remain valid for 30 calendar days from the date of issue.
  • A quotation does not constitute a binding order. An order is confirmed only upon receipt of the Buyer's written purchase order and the agreed deposit payment.
  • Evokomoribi reserves the right to decline any purchase order at its sole discretion prior to deposit receipt.
  • Any changes to confirmed specifications — material, color, motor, packaging, labeling — after order confirmation must be submitted in writing and may result in revised pricing, MOQ, or lead time.

3. Payment Terms

Standard payment structure for all manufacturing orders:

  • 30% deposit required to initiate production. Production does not begin until the deposit clears.
  • 70% balance due before shipment. Goods will not be released to the forwarder until full payment is confirmed.
  • All payments are accepted via T/T (bank wire transfer) in USD. Other currencies or payment methods require prior written agreement.
  • Quotations are subject to price adjustment if raw material costs change more than 8% between quotation date and production start, with written notification provided.
  • Late payments accrue interest at 1.5% per month on the outstanding balance.

4. Minimum Order Quantities

  • Standard catalog OEM (logo + packaging on existing mold): MOQ 300–500 units per SKU.
  • Modified catalog ODM (color, motor, or layout change): MOQ 500–1,000 units per SKU.
  • Full custom OEM (new mold development): MOQ 1,000–2,000 units per SKU.
  • MOQ applies per SKU, not per order. Mixed-SKU orders must meet MOQ individually.
  • Sample orders are available prior to bulk commitment and do not count toward MOQ.

5. Intellectual Property & Mold Ownership

  • For full custom OEM projects, the Buyer owns 100% of the mold and associated design IP once mold tooling fees are fully paid. This is documented in the manufacturing agreement prior to production.
  • Evokomoribi retains ownership of all standard catalog molds. Catalog molds are not shared between clients, but Evokomoribi may use them for other buyers.
  • Design files, CAD drawings, firmware specifications, and app source code submitted by the Buyer remain the Buyer's exclusive property. Evokomoribi will not reproduce, share, or adapt them for any third party.
  • NDA execution is available before sharing sensitive specifications. Contact the sales team to request an NDA prior to disclosure.

6. Delivery & Title

  • All shipments are made on FOB Shenzhen or FOB Guangzhou terms unless otherwise agreed in writing.
  • Title and risk of loss transfer to the Buyer upon handover to the nominated freight forwarder or carrier at the FOB point.
  • Evokomoribi is not liable for loss, damage, delay, or customs issues that occur after the FOB point.
  • The Buyer is responsible for import duties, taxes, customs clearance, and compliance with destination country regulations.
  • Evokomoribi provides standard export documentation with every shipment: commercial invoice, packing list, certificate of origin, CE Declaration of Conformity, RoHS certificate, and MSDS.

7. Limitation of Liability

Evokomoribi's total liability arising from any order shall not exceed the total value of that specific order. Evokomoribi is not liable for indirect, consequential, incidental, or punitive damages, including lost profits, lost revenue, lost business opportunity, or reputational harm, regardless of the cause of action or whether Evokomoribi was advised of the possibility of such damages. Evokomoribi makes no warranties beyond those expressly stated in these Terms or in the written manufacturing agreement for a specific order.

8. Force Majeure

Evokomoribi is not liable for delays or failure to perform caused by events beyond its reasonable control, including natural disasters, government actions, port closures, supply chain disruptions, pandemics, or labor disputes. In such events, Evokomoribi will notify the Buyer promptly in writing, and the parties will negotiate in good faith to reschedule production or agree on appropriate remedies.

9. Governing Law & Disputes

These Terms are governed by the laws of the People's Republic of China. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice. If negotiation fails, the dispute shall be submitted to the Guangdong International Economic and Trade Arbitration Commission (GIETAC) for final and binding arbitration in Guangzhou, conducted in English or Chinese at the claimant's election.

10. Amendments

Evokomoribi reserves the right to update these Terms at any time. The version in effect at the time of order placement governs that order. Material changes will be communicated via email to registered B2B account holders.
